AI Mentor Studio Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AI Mentor Studio, including mentorstudio.ai, related websites and subdomains, individual Studio pages, AI mentors, embedded mentor experiences, lead pages, sales pages, membership features, creator tools, and related products and services collectively referred to as the “Platform.”

The Platform is owned and operated by Smartstack Platforms LLC (“Smartstack,” “AI Mentor Studio,” “we,” “us,” or “our”).

By creating an account, purchasing a plan, accessing a Studio, interacting with an AI mentor, embedding a mentor, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.

1. The Platform

AI Mentor Studio provides tools that allow creators, businesses, coaches, consultants, authors, educators, agencies, and other users to create and operate branded Studios containing purpose-built AI mentor experiences.

Platform features may include AI-powered mentor creation and delivery, branded Studios and member areas, lead pages and sales pages, free and paid membership plans, embedded mentor experiences, creator, agency, and co-creator tools, AI-assisted mentor-building tools such as NOVA, third-party integrations, payment and email services, and other features introduced over time.

Some features may be offered in beta, preview, experimental, or early-access form.

2. Definitions

“Studio” means a branded workspace created and managed through the Platform.

“Studio Creator” means the individual or organization that owns, operates, or manages a Studio.

“Co-Creator” means an individual authorized to help manage a Studio.

“End User” means a person who visits, registers for, purchases access to, or interacts with a Studio or mentor.

“Mentor” means an AI-powered guided experience created, configured, or delivered through the Platform.

“Creator Content” means instructions, documents, frameworks, text, images, prompts, branding, offers, mentor configurations, and other materials submitted by a Studio Creator or Co-Creator.

“User Content” means information, prompts, responses, documents, submissions, and other materials provided by any user.

“AI Output” means text, recommendations, summaries, plans, ideas, analyses, or other material generated with artificial-intelligence assistance.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase a subscription, create a Studio, or operate a paid account.

The Platform is not directed to children under 13. Individuals between 13 and 17 may use an End User experience only with the permission and supervision of a parent or legal guardian and only when permitted by the applicable Studio Creator.

By using the Platform for a company, organization, client, or other legal entity, you represent that you have authority to bind that entity to these Terms.

4. Accounts and Account Security

You agree to provide accurate and current account information. You are responsible for maintaining the confidentiality of your login credentials, all activity conducted through your account, properly securing connected API keys and integrations, ensuring authorized team members comply with these Terms, and promptly notifying us of suspected unauthorized access.

You may not share an individual login in a manner that circumvents plan limits, user limits, or security controls.

We may require identity, ownership, or payment verification before restoring access, transferring a Studio, processing certain requests, or making significant account changes.

5. Platform User Relationship

AI Mentor Studio is a platform operated by Smartstack Platforms LLC. When you create an account, join a Studio, access a Mentor, purchase access through a Studio, or use a feature powered by AI Mentor Studio, you are also creating or using an AI Mentor Studio platform account.

Even when you first access the Platform through a specific creator, Studio, invitation, course, membership, offer, or paid plan, your account may allow you to access multiple Studios, Mentors, sessions, and creator experiences through one platform identity.

Smartstack may provide login, security, account access, support, product education, service notices, and other communications related to the Platform, subject to applicable law and our Privacy Policy.

6. Studio Creators and End Users

Studio Creators determine the subject matter, content, audience, access rules, pricing, and intended outcomes of their Studios and Mentors.

Unless expressly stated otherwise, Studio Creators are independent users of the Platform and are not employees, agents, partners, franchisees, or representatives of Smartstack.

Studio Creators are responsible for:

• The legality and accuracy of their Creator Content;
• Claims made on lead pages, sales pages, and Mentor experiences;
• Their relationship with members, customers, clients, and End Users;
• Obtaining required permissions and consents;
• Providing additional terms, disclaimers, refund policies, or privacy notices required for their business;
• Reviewing, testing, supervising, and monitoring their Mentors;
• Properly handling information they export or independently collect;
• Complying with laws applicable to their profession, advertising, business, and offers.

An End User’s relationship with a Studio Creator may be subject to additional terms established by that Studio Creator. Smartstack is not responsible for promises, services, advice, products, refunds, or representations independently made by a Studio Creator.

7. Artificial Intelligence and AI Output

The Platform uses third-party artificial-intelligence technology to generate or assist with Mentor experiences and other features.

AI Output may be incomplete, inaccurate, outdated, misleading, offensive, or unsuitable for a particular situation.

You acknowledge that:

• AI Output is not guaranteed to be accurate or complete;
• AI Output should not be treated as the sole source of truth;
• You are responsible for reviewing AI Output before relying on, publishing, sharing, selling, or acting upon it;
• Human judgment and professional review should be used where appropriate;
• Similar or identical output may be generated for other users;
• AI Output may not be unique or eligible for intellectual-property protection;
• Smartstack does not guarantee any particular outcome, transformation, income, result, or performance.

Unless a qualified professional has independently reviewed and adopted the material, AI Output does not constitute legal, medical, mental-health, tax, investment, accounting, financial, employment, or other regulated professional advice.

Do not use the Platform to make fully automated decisions involving employment, housing, credit, insurance, healthcare, education admissions, legal rights, or other high-impact matters without appropriate human review and compliance safeguards.

The Platform is not an emergency service.

8. Third-Party AI Providers and API Keys

The Platform may connect with providers such as OpenAI, Anthropic, or other providers introduced over time.

Certain plans or Mentors may require a Studio Creator to connect an independent provider account or API key.

When you connect a third-party API key:

• You authorize the Platform to use it to process eligible requests;
• Provider charges are separate from Mentor Studio fees;
• You are responsible for the provider account, usage limits, billing, and compliance;
• The provider’s terms and privacy practices also apply;
• You must have the right to use the key;
• You may not connect a stolen, shared, unauthorized, or improperly obtained key;
• You are responsible for monitoring usage and revoking compromised credentials.

We are not responsible for third-party pricing changes, outages, model changes, usage charges, account suspensions, output quality, or provider decisions.

9. Creator Content, User Content, and Ownership

As between you and Smartstack, you retain ownership rights in Creator Content and User Content that you lawfully provide.

You grant Smartstack a worldwide, non-exclusive, limited license to host, copy, transmit, format, display, process, and otherwise use that content as reasonably necessary to operate and secure the Platform, deliver Studios and Mentors, process AI requests, provide support, prevent fraud or misuse, improve Platform functionality, and comply with law.

This license ends when content is deleted from active systems, subject to reasonable backup retention, legal obligations, dispute preservation, and required business records.

You represent that you have all rights, permissions, and lawful bases necessary to submit the content and authorize its processing.

10. Uploaded Documents and Reference Materials

Studio Creators may upload documents, frameworks, training materials, course content, books, worksheets, transcripts, images, audio, video, or other reference materials for use by Mentors.

You are responsible for ensuring that you own the material or have permission to use it; its use does not violate copyright, confidentiality, privacy, publicity, or contractual rights; it does not contain malware; and any personal data contained within it is collected and used lawfully.

You may not upload or build Mentors from copyrighted, private, confidential, paid, licensed, or third-party materials unless you own the rights or have proper permission.

We may remove or restrict material in response to a valid rights complaint, legal request, security concern, or Terms violation.

11. Acceptable Use

You may not use the Platform to:

• Violate any law or regulation;
• Infringe intellectual-property, privacy, publicity, or contractual rights;
• Create or distribute malware, phishing, spam, or malicious code;
• Impersonate another person or misrepresent affiliation, qualifications, or results;
• Harass, threaten, exploit, or unlawfully discriminate against others;
• Facilitate fraud, deception, illegal financial schemes, or unauthorized surveillance;
• Generate or distribute unlawful sexual content or exploitative content involving minors;
• Encourage violence, self-harm, or serious wrongdoing;
• Obtain unauthorized access to accounts, systems, API keys, or data;
• Circumvent plan limits, rate limits, access controls, or security measures;
• Scrape, reverse engineer, probe, or interfere with the Platform except where legally permitted;
• Resell or sublicense the Platform except through an authorized agency, reseller, or partner arrangement;
• Use Platform data to train competing models or build a competing service without written authorization;
• Collect sensitive information without a legitimate purpose, appropriate safeguards, and required consent;
• Represent AI-generated material as independently verified when it has not been verified.

We may investigate suspected misuse and restrict access where reasonably necessary.

12. Children and Minors

AI Mentor Studio is not designed or intended for use by children under 13. Studio Creators may not create, publish, market, or operate experiences directed primarily to children under 13.

If a Creator develops experiences intended for teenagers, students, young adults, or audiences that may include minors, that Creator is solely responsible for applicable parental or guardian consent requirements, school or organizational policies, privacy requirements, advertising rules, and child-safety standards.

You may not use the Platform to collect personal information from children unlawfully, provide inappropriate or exploitative content to minors, or create Mentors that encourage secrecy, dependency, unsafe behavior, or inappropriate relationships between minors and adults.

We may review, restrict, suspend, or terminate content that we reasonably believe creates risk to minors.

13. Subscriptions and Automatic Renewal

Some Platform features require a paid monthly or annual subscription.

By beginning a paid subscription, you authorize Smartstack and its payment processor to charge the applicable subscription fee, taxes, and disclosed charges to your selected payment method.

Unless otherwise stated at checkout:

• Monthly plans automatically renew each month;
• Annual plans automatically renew each year;
• Renewal continues until canceled;
• The price and renewal frequency will be presented before purchase;
• Cancellation prevents future renewal but does not ordinarily create a prorated refund for the current billing period;
• Access continues through the end of the paid billing period unless the account is suspended for a Terms violation, payment dispute, fraud, or security concern.

You may cancel through available account or billing settings or by contacting smartstackplatforms@gmail.com.

You are responsible for canceling before the next renewal date to avoid the next charge.

14. Price and Plan Changes

We may change subscription prices, plan names, feature limits, or included services.

Price changes for an existing recurring subscription will ordinarily apply to a future billing period after reasonable notice, unless an immediate change is required by law, a provider, security concerns, misuse, or correction of an obvious pricing error.

Upgrades may take effect immediately and may include prorated charges. Downgrades may take effect at the end of the current billing period.

Features, model availability, Mentor limits, Studio limits, storage, member limits, NOVA usage, and other plan entitlements may vary by plan and may change over time.

15. Trials, Promotions, Discounts, and Beta Pricing

Promotional plans, beta pricing, free trials, launch offers, coupons, and discounts may be subject to eligibility requirements and expiration dates.

Unless expressly stated otherwise, promotions apply only to the specified purchase or period, cannot be combined, may not apply to later upgrades, and may be ended or modified before purchase. Fraudulent or duplicate promotional enrollments may be canceled.

16. Lifetime and One-Time Plans

The Platform may offer lifetime, founders, one-time, or perpetual-access plans.

Unless the applicable offer expressly states otherwise, “lifetime” means access for the commercially supported lifetime of the applicable AI Mentor Studio product or plan, not the lifetime of the purchaser.

Lifetime access:

• Applies only to features and limits described in the offer;
• Does not include third-party AI usage, API charges, optional add-ons, custom work, future standalone products, or separately priced services unless expressly included;
• Requires the account to remain in good standing;
• Is personal to the purchasing account or organization and may not be resold or transferred without written permission;
• Does not guarantee that every current feature, model, integration, or third-party service will remain available indefinitely.

If the applicable product is discontinued, reorganized, sold, replaced, or materially changed, we may provide continued access, a successor service, a reasonable migration option, or another remedy determined by Smartstack and applicable law.

17. Payments, Failed Charges, and Taxes

You must maintain a valid payment method for paid subscriptions.

If a payment fails, is reversed, or is disputed, we may retry the charge, request an updated payment method, restrict paid features, suspend or downgrade the account, terminate access after notice, or recover amounts properly owed where permitted by law.

You are responsible for applicable taxes, except taxes based on Smartstack’s net income.

You agree not to initiate an improper chargeback for a valid purchase. Contact us first at smartstackplatforms@gmail.com so we can review the issue.

18. Refunds and Cancellations

Refund eligibility, if any, will be described on the applicable checkout page, offer page, order form, or written purchase terms.

Unless a specific refund policy is provided in writing or a non-waivable legal right applies:

• Subscription payments are non-refundable once charged;
• Canceling stops future renewals but does not create a prorated refund;
• One-time and lifetime-plan purchases are non-refundable after access is delivered;
• AI-provider and other third-party charges are not refundable by Smartstack;
• Custom services and implementation work are governed by the applicable agreement.

We may provide a refund, credit, or exception at our discretion. Providing an exception once does not require us to provide the same exception later.

19. Fair Use and Platform Protection

Plans described as “unlimited” or offering expanded access remain subject to fair use.

You may not use the Platform in a manner that abuses system resources, bypasses limits, degrades service, creates excessive load, resells access without permission, or creates security, legal, financial, or operational risk.

We may limit, throttle, suspend, review, or restrict usage that violates fair use, threatens stability, or exceeds reasonable use for the intended plan.

20. Directory Listings and Promotional Exposure

Some plans or offers may include eligibility for a Studio Directory, Mentor Directory, creator directory, featured listing, promotional opportunity, or similar discovery feature.

Directory inclusion is not guaranteed unless expressly stated in writing. Smartstack may approve, reject, edit, remove, reposition, categorize, or decline a listing.

Directory placement, founding-creator status, promotional exposure, or featured visibility does not guarantee traffic, leads, sales, clients, revenue, rankings, or business results.

21. Intellectual Property

The Platform, including its software, interfaces, workflows, branding, templates, documentation, graphics, designs, and underlying technology, is owned by Smartstack or its licensors and protected by intellectual-property laws.

These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform while you have authorized access.

Except for your own content, you may not copy, sell, license, distribute, modify, create derivative works from, or commercially exploit Platform materials without written permission.

“AI Mentor Studio,” “Mentor Studio,” “NOVA,” related logos, and associated branding may be trademarks or service marks of Smartstack Platforms LLC.

22. Feedback

If you provide ideas, feature requests, recommendations, or other feedback, you grant Smartstack the right to use that feedback without restriction or compensation.

This does not transfer ownership of your confidential Creator Content or independently developed business materials.

23. Third-Party Services

The Platform may rely on or link to AI providers, payment processors, hosting providers, authentication systems, email services, analytics providers, domain services, and external websites.

Third-party services are governed by their own terms and policies. We are not responsible for third-party availability, security, accuracy, pricing, actions, content, or policies.

24. Beta and Experimental Features

Beta, preview, experimental, and early-access features are provided for evaluation and may contain errors, change without notice, experience interruptions, or be discontinued.

You should maintain independent copies of important content and should not rely on beta features for critical operations.

25. Platform Availability and Changes

We work to maintain the Platform but do not guarantee uninterrupted or error-free access.

We may modify, replace, suspend, limit, rename, reprice, restructure, or discontinue features when reasonably necessary for maintenance, security, legal compliance, provider changes, product development, or business reasons.

Where practical, we will provide notice of a material discontinuation affecting paid services.

26. Suspension and Termination

We may suspend, limit, or terminate access if you violate these Terms, fail to pay, create a security or legal risk, infringe another party’s rights, misuse an API key, improperly dispute a charge, or if action is required by law or a provider.

Where appropriate, we may provide notice and an opportunity to resolve the issue. Serious misuse may result in immediate action.

Termination for violation does not entitle you to a refund.

27. Data Export and Account Closure

You are responsible for maintaining independent copies of important content.

Before closing an account, you should export information the Platform allows you to export.

We do not guarantee indefinite storage after cancellation, account closure, Studio deletion, or termination. Information may be deleted or de-identified according to our Privacy Policy, legal obligations, backup cycles, and operational requirements.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, AI OUTPUT, BETA FEATURES, TEMPLATES, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SMARTSTACK DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, UNIQUE, OR SUITABLE; THAT A STUDIO OR MENTOR WILL PRODUCE A PARTICULAR RESULT; THAT USE WILL GENERATE REVENUE, LEADS, CUSTOMERS, OR BUSINESS SUCCESS; THAT CONTENT WILL NEVER BE LOST; OR THAT EVERY PROVIDER OR MODEL WILL REMAIN AVAILABLE.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSTACK AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, LOSS OF GOODWILL, OR COSTS OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSTACK’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID DIRECTLY TO SMARTSTACK FOR THE PLATFORM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms excludes liability that cannot legally be excluded.

30. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Smartstack and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, judgments, penalties, and reasonable legal expenses arising from your use or misuse of the Platform, your content, your Studio or Mentor, your relationship with End Users, your violation of these Terms or law, or your infringement of another party’s rights.

31. Governing Law and Disputes

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

Before filing a legal claim, you agree to contact us at smartstackplatforms@gmail.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Unless applicable law requires otherwise, legal proceedings arising from these Terms or the Platform will be brought in the state or federal courts serving Jackson County, Oregon, and you consent to their jurisdiction.

Nothing prevents either party from seeking temporary or emergency relief to protect accounts, intellectual property, confidential information, security, or legal rights.

32. Changes to These Terms

We may update these Terms to reflect Platform changes, legal requirements, security needs, provider requirements, or business practices.

The updated Terms will include a revised effective date. If a change materially affects your rights, we may provide additional notice through the Platform, dashboard, or email.

Continued use after the effective date constitutes acceptance to the extent permitted by law.

33. Electronic Communications

You consent to receive agreements, notices, disclosures, receipts, and account communications electronically.

Marketing communications may be unsubscribed from using the instructions in the message. Transactional, billing, security, and account notices may still be sent.

34. General Provisions

These Terms and any applicable order form or written service agreement constitute the agreement between you and Smartstack concerning the Platform.

If a provision is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our written permission. We may assign them as part of a merger, acquisition, financing, reorganization, asset transfer, or sale of the Platform.
